PestPatrol – Home User License, PestPatrol – Home User License free download

PestPatrol – Home User License, PestPatrol – Home User License free download PestPatrol is a powerful security and personal privacy tool that detects and eliminates destructive pests like trojans, spyware, adware and hacker tools. It complements your anti-virus and firewall software, extending your protection against non-viral malicious software that can evade your existing security and invade your personal privacy. These pests often lurk silently on your computer until something – or someone – sets them off. When that happens, you could lose passwords, personal data, credit card numbers, and – if you telecommute and connect to your office via a VPN – open up a back door for the hacker into your entire company network.

Five Steps to a Human Resources Software Technology System

Filed under: Software — MOIN @ 12:12 pm

We spent some time this year reviewing Human Resources Software Technology Systems because it was past time to bring employee data online. The selection process was limited to technology systems that would interact flawlessly with our existing payroll and accounting systems. The effort to select the system was led by our able technical department manager with support from Human Resources staff. It is in the data entry stage now and I’ll report from time to time how the selection and implementation worked out.

Today’s guest author, Clay C. Scroggin (pictured), brings fifteen plus years in HR technology to his new venture, CompareHRIS.com. His new article, Five Steps to a Human Resources Software Technology System emphasizes what to do at each of five steps in selecting a system.

Software Escrow… Less is More

Filed under: Software — MOIN @ 11:57 am

here are two school of thoughts when it comes to software license agreements and the escrow of the associated software source code.  One school of thought is that a software license agreement requires a comprehensive escrow agreement–preferably also signed by the escrow agent.  The other, less-widely adopted, school of thought is that you really don’t need anything more than a simple few-sentence paragraph in the body of the software license, just between licensor and licensee (meaning no escrow agent as a party).

Let’s call the first school of thought the “mega-escrow” and the other “mini-escrow.”

Mega-escrow requires that the software license agreement contain a referring clause something similar to the following:

Escrow Agreement.  In the form of an escrow agreement attached as Exhibit B hereto, and corresponding to the applicable Exhibit A, Licensor agrees to place in escrow with an escrow agent copies of the most current version of the source code for the applicable Software and other materials necessary to internally support (i.e. maintain and/or repair) the Software for the benefit of Customer.
